Terms of Service

1. Acceptance of these terms

These Terms of Service (the "Terms") are a binding agreement between you and Shapes & Lines ("Shapes & Lines," "we," "us," or "our") and govern your access to and use of shapeslines.com and our booking and client tools (the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract to book services or make a payment through the Services. If you use the Services on behalf of a company or other organization, you represent that you are authorized to do so.

3. The Services

Shapes & Lines is a video production agency. The Services include our website, a booking flow for requesting shoots, and tools we use to coordinate and deliver projects. We may add, change, suspend, or discontinue parts of the Services at any time.

4. Bookings, deposits, and payments

Submitting a booking request is a request for services, not a confirmed booking, until we accept it. We use Stripe to collect deposits and payments, and your payment is subject to Stripe's terms. A deposit may be required to reserve a date. The specific scope, schedule, pricing, deliverables, ownership of footage, and cancellation and refund terms for your project are set out in your booking confirmation, proposal, statement of work, or production agreement. Those project documents control if they conflict with these Terms, and these Terms do not replace a signed production agreement.

5. Your responsibilities

You agree to provide accurate information, to have the rights and permissions needed for any locations, people, music, brands, or materials involved in your project, and to cooperate as reasonably needed for us to deliver it. If you have a login, you are responsible for keeping your credentials secure and for activity under your account.

6. Acceptable use

You agree not to use the Services to break the law, infringe anyone's rights, upload malware, attempt to gain unauthorized access, scrape data except as permitted, or otherwise interfere with the Services or other users.

7. Intellectual property

The website and its content — design, text, graphics, logos, and the footage and work in our portfolio — are owned by Shapes & Lines or its licensors and are protected by intellectual-property laws, except where we have agreed otherwise in writing. Ownership and licensing of the deliverables we create for you are governed by your production agreement. You may not copy or reuse our content without permission.

8. Third-party services

The Services rely on third parties such as Stripe and Google. We are not responsible for those services, and your use of them is governed by their own terms and policies.

9. Disclaimers

THE SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. This section governs your use of the website and Services and does not limit any warranty we expressly give in a signed production agreement.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SHAPES & LINES AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE WEBSITE OR THE SERVICES (AS OPPOSED TO A SIGNED PRODUCTION AGREEMENT, WHICH GOVERNS ITS OWN TERMS) WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE RELEVANT BOOKING OR ONE HUNDRED U.S. DOLLARS (US$100).

11. Indemnification

You agree to indemnify and hold harmless Shapes & Lines and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms or the rights of others.

12. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first try to resolve the dispute informally by contacting us. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and you consent to personal jurisdiction and venue there.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after an update means you accept the revised Terms.
